Terms and Conditions of Sale

DEFINITIONS
In the following Terms and Conditions of Sale “the Purchaser” shall mean the entity purchasing the goods and services which are the subject of these terms and conditions of sale and “Pharmalife ™” shall mean Allure Pharmaceuticals Pty Ltd ABN 99 151 343 823, the entity supplying the same goods and services.

BINDING TERMS AND CONDITIONS
The only contractual terms which are binding upon Allure Pharmaceuticals Pty Ltd are those set forth herein or otherwise agreed to in writing by Allure Pharmaceuticals Pty Ltd and those, if any ,which are imposed by law and which cannot be excluded.

PRICES AND STATUS OF PRICE LIST
Prices specified by Allure Pharmaceuticals Pty Ltd are inclusive of GST (as that term is used in a New Tax System (Goods & Services Tax) Act 1999 as amended). Prices on Allure Pharmaceuticals Pty Ltd price lists are subject to variation without notice and the price applicable will be the price on the invoice.

DELIVERY CHARGES
Prices do not include freight. If the Purchaser requests special delivery arrangements, special delivery charges may apply.

OUT OF STOCK ITEMS
Should any item not be supplied with the rest of the Purchaser’s order, Allure Pharmaceuticals Pty Ltd will place that item on backorder. Allure Pharmaceuticals Pty Ltd will contact the Purchaser as soon as the item becomes available.

CANCELLATION OF ORDER
The Purchaser shall not be entitled to cancel the order except with Allure Pharmaceuticals Pty Ltd's written agreement.

ACCEPTANCE
The Purchaser will be deemed to have accepted the goods on delivery if no written claim or objection has been received by Allure Pharmaceuticals Pty Ltd within 7 days of the goods having been delivered to the Purchaser. If the Purchaser refuses to accept delivery from Allure Pharmaceuticals Pty Ltd or its delivery agent, such refusal shall be unlawful repudiation of the contract.

PAYMENT TERMS
Payment must be received prior to dispatch of the goods and services, unless otherwise agreed in writing by Allure Pharmaceuticals Pty Ltd.

TIMING OF PAYMENT
Payment shall be deemed to have been made on the date the funds are credited to Allure Pharmaceuticals Pty Ltd’s account by the bank.

TIME OF THE ESSENCE
In respect to the Purchaser’s obligation to make payment for the goods sold by Allure Pharmaceuticals Pty Ltd to the Purchaser time shall be of the essence.

RETURNS
Allure Pharmaceuticals Pty Ltd will accept return of goods originally supplied by Allure Pharmaceuticals Pty Ltd only by prior arrangement.

RISK AND INSURANCE
Unless otherwise agreed in writing by Allure Pharmaceuticals Pty Ltd, goods supplied by Allure Pharmaceuticals Pty Ltd to the Purchaser shall be at the Purchaser’s risk immediately on dispatch to the Purchaser or delivery into the Purchaser’s custody (whichever is the sooner).

APPLICABLE LAW
The contract of sale shall be construed in accordance with the law of the State of Queensland.

LIMITATION OF LIABILITY
To the maximum extent permitted by law, and except as otherwise stipulated in these Terms and Conditions of Sale, Allure Pharmaceuticals Pty Ltd will not accept liability to you for damages which may be suffered or incurred by you or which may arise directly or indirectly including in respect of:

i) using or relying on any information on this website;
ii) personal injury (including sickness and death);
iii) goods or services supplied pursuant to an order placed on this website; or
iv) any failure or omission on our part to comply with our obligations as set out in these Terms and Conditions of Sale, whether caused by negligence of Allure Pharmaceuticals Pty Ltd or otherwise.

The liability of Allure Pharmaceuticals Pty Ltd for a breach of a condition or warranty implied by law and to which cannot be excluded, is limited, to the extent possible, to:
i) the supply of the goods or services again; or
ii) the payment of the cost of having the goods or services supplied again.

VIRUS WARNING
Allure Pharmaceuticals Pty Ltd does not represent or warrant that any files or other information obtained from or through this website are free from computer viruses or other defects.  Any such files are provided, and may only be used, on the basis that the user of such files assumes all responsibility for any loss, damage or consequence resulting directly or indirectly from use of those files.

INDEMNITY
You agree to indemnify Allure Pharmaceuticals Pty Ltd, it’s officers and employees, harmless from any and all liabilities, costs and expenses, including reasonable legal fees, related to any breach of these Terms and Conditions of Sale by you, or (to the extent permitted by law) in connection with your use of this website or the placement or transmission of any information on this website by you.

SECURITY OF INFORMATION
Unfortunately, no data transmission over the Internet can be guaranteed as completely secure. We do not warrant and cannot ensure the security of any information that you transmit to us. Accordingly, any information that you transmit to us is transmitted at your own risk. Nevertheless, once we receive your transmission, we will take reasonable steps to preserve the security of such information.

CONSENT
You consent to Allure Pharmaceuticals Pty Ltd using and disclosing your personal information for the purpose of contacting you, including but not limited to by telephone or email, for the purpose of offering you products and services or for other marketing purposes. You contacting Allure Pharmaceuticals Pty Ltd and informing it that you no longer wish to receive such communications may only revoke such consent.
